Please read these Terms & Conditions carefully before using the HLYWD MD platform. By accessing or using any part of this platform — including the retail store, partner portal, or any related services — you agree to be bound by these Terms. If you do not agree, please do not use the platform.

1. About HLYWD MD & the Platform

HLYWD MD (referred to as "we", "us", or "the Company") operates a unified commerce platform that serves two distinct user groups:

• B2C Retail Customers — individuals who purchase HLYWD MD products directly through the platform
• B2B Salon Partners — registered salon businesses that participate in the HLYWD MD Partner Programme to earn referral commissions and purchase products at wholesale pricing

The platform includes:

• A retail e-commerce storefront
• A multi-salon rolling attribution and commission engine
• A partner portal with role-based access for salon companies and their branches
• A wholesale ordering module for salon partners
• A CRM-integrated partner lead and onboarding system
• Integration with Microsoft Dynamics 365 Business Central for commission payouts

These Terms govern the use of all of the above. Additional terms specific to salon partners are set out in Section 5 onwards.

2. Eligibility & Account Registration

2.1 B2C Retail Customers

To use the retail store, you must:

• Be at least 18 years of age, or have the consent of a parent or legal guardian
• Provide a valid Indian mobile number for OTP-based login
• Provide accurate and up-to-date personal and delivery information

Guest checkout is available for retail purchases, though a registered account is required to view order history and use referral codes.

2.2 B2B Salon Partners

To participate in the HLYWD MD Partner Programme, your salon business must:

• Complete the partner lead form on the platform and pass OTP verification
• Be formally onboarded by the HLYWD MD sales or admin team — there is no self-registration in Phase 1
• Submit valid KYC documents including PAN, GST certificate, cancelled cheque, and signed Partner Agreement
• Receive KYC verification and account activation from the HLYWD MD admin team

A partner account becomes active only after KYC approval and admin activation. Partner login is via Email/Username + Password (with optional Two-Factor Authentication). OTP-only login is not supported for partner accounts.

2.3 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Immediately notifying HLYWD MD of any unauthorised use of your account

HLYWD MD will not be liable for any loss arising from unauthorised access to your account due to your failure to maintain credential security.

3. Retail Purchases — B2C Terms

3.1 Product Availability & Pricing

• All products listed on the platform are subject to availability
• Prices are displayed inclusive of applicable taxes unless otherwise stated
• HLYWD MD reserves the right to modify prices at any time without prior notice
• Orders placed before a price change will be honoured at the original price

3.2 Referral Code Discount

Retail customers may use a referral code issued by a salon partner to receive a 10% discount on eligible products. The following conditions apply:

• Only one referral code may be applied per order
• Referral codes are non-transferable and single-use per transaction
• Referral codes cannot be combined with other promotional offers unless explicitly stated
• The 10% discount applied via referral code is non-refundable in the event of a return
• HLYWD MD reserves the right to invalidate referral codes that are misused or shared in violation of these Terms

3.3 Order Placement & Confirmation

• Placing an order constitutes an offer to purchase — it is not a confirmed sale until you receive an order confirmation email/SMS
• HLYWD MD reserves the right to cancel any order at its discretion, including in cases of pricing errors, stock unavailability, or suspected fraud
• In the event of a cancellation, a full refund will be issued to the original payment method

3.4 Delivery

• Delivery timelines are estimates and may vary based on location and logistics partner availability
• HLYWD MD is not liable for delays caused by logistics partners, natural events, or circumstances beyond our control
• Risk of loss transfers to the customer upon delivery to the shipping address provided

3.5 Returns & Refunds

Returns and refunds are governed by the HLYWD MD Refund & Returns Policy, which forms part of these Terms by reference. Please refer to the Refund Policy for full details on eligibility, timelines, and processes.

4. Salon Partner Programme — Overview

4.1 Nature of the Relationship

Salon partners are independent business entities. Participation in the HLYWD MD Partner Programme does not constitute employment, agency, franchise, or joint venture between the partner and HLYWD MD. Partners are not authorised to make representations or enter into agreements on behalf of HLYWD MD.

4.2 Partner Hierarchy

The Partner Programme is structured on a two-tier hierarchy:

• Company Level (Parent): The registered salon company with full consolidated access
• Branch Level (Child): Each physical salon location that functions as an independent attribution node

Each branch generates its own referral code and QR code, and operates as a separate commission-earning node within the overall company account.

4.3 Role-Based Access

Each company account supports multiple users with defined roles:

All user activity within a partner account is subject to full audit logging. Company Admins are responsible for managing user access and ensuring that sub-users comply with these Terms.

5. Attribution Engine & Commission Structure

5.1 Rolling Attribution Logic

HLYWD MD operates a multi-salon rolling attribution engine based on a 12-month rolling window. Each branch node tracks independently. The following rules govern attribution:

• A retail customer linked to a branch via referral code entry is attributed to that branch's node
• Passive purchases (by customers who have previously used a referral code) continue to attribute to the originating node
• Attribution remains valid for 12 months from the date of the customer's first referral code use
• If a referral code expires or the node is suspended, attribution lapses and commissions are not earned on subsequent purchases
• Multiple referral codes in a single session: only the last valid code applied before checkout will be attributed

5.2 Commission Configuration

• Commission percentages are set at company or branch level by the HLYWD MD admin team
• Branch-level commission rates may differ from the company-level rate via admin-configured override
• Commission percentages may be modified by HLYWD MD at any time — partners will be notified of changes
• Commission rate changes mid-cycle will apply from the date of change; already-attributed orders will retain the original rate
• All commission changes are logged with timestamp and admin identity in the audit trail

5.3 Commission Sharing

Where a customer is simultaneously attributed to multiple active nodes (e.g., due to visits to multiple branches), commission sharing rules apply as configured by the admin. HLYWD MD's commission configuration engine decisions are final.

5.4 Commission Reversal on Refunds

• Commissions earned on orders that are subsequently refunded will be reversed
• If a payout batch has already been locked, the reversal will be adjusted in the next payout cycle
• Commissions on partially refunded orders are recalculated on the net retained value

6. Payouts & Financial Terms

6.1 Payout Process

Commission payouts are processed monthly via integration with Microsoft Dynamics 365 Business Central. The payout process involves:

• Monthly commission batch generation by the HLYWD MD finance team
• CSV export for Business Central vendor invoice processing
• TDS deduction as applicable under Indian tax law
• Payment confirmation upload and visibility in the partner dashboard

6.2 TDS (Tax Deducted at Source)

HLYWD MD will deduct TDS on commission payouts as required under applicable Indian tax legislation. Partners are responsible for:

• Providing accurate PAN details at the time of onboarding
• Ensuring their entity type is correctly declared (Proprietorship / Partnership / LLP / Pvt Ltd etc.)
• Downloading TDS statements from the Partner Dashboard for their own tax filings

HLYWD MD will not be liable for any tax penalties arising from incorrect or incomplete information provided by the partner.

6.3 Bank Account Details

Partners must maintain accurate and current bank account details on their profile (Account Name, Account Number, IFSC, Bank Name, Branch). HLYWD MD is not responsible for failed payouts arising from incorrect bank details provided by the partner. Requests to change bank details must be accompanied by updated cancelled cheque documentation and are subject to re-verification.

6.4 Payout Disputes

Any dispute regarding commission calculation or payout must be raised within 30 days of the payout date by submitting a written query to the HLYWD MD finance team. HLYWD MD's calculation records shall be considered authoritative in the absence of demonstrable error.

7. Wholesale Ordering — B2B Terms

7.1 Eligibility

Wholesale ordering is available exclusively to verified and active HLYWD MD salon partners. Wholesale pricing, SKU access, and promotions are not available to retail customers.

7.2 Pricing & Promotions

• Wholesale prices are set by HLYWD MD and are subject to change without notice
• Partner-specific promotions, Buy X Get Y offers, cart value discounts, and category/SKU-level promotions may be configured by the admin team
• Promotion stacking rules (stackable vs. non-stackable) apply as configured — in case of conflict, the higher-priority promotion as defined by the admin will apply
• Promotional offers are time-limited and subject to stock availability
• HLYWD MD reserves the right to withdraw or modify any promotion at any time

7.3 Tester SKU Policy

Tester products are available to active partners under the following strict conditions:

• Tester SKUs are priced at a higher discount than standard wholesale products
• Quantity caps apply per partner per cycle — as configured by the admin
• Tester products are marked "Not for Resale" and must be used solely for in-salon demonstration
• Resale, gifting, or distribution of tester SKUs to third parties is strictly prohibited
• Misuse of tester SKUs may result in immediate suspension of the partner account and forfeiture of all pending commissions without refund
• All tester purchases are final — no returns, no refunds, no exchanges under any circumstances

7.4 Order Fulfilment

• Wholesale orders are fulfilled directly from the HLYWD MD warehouse
• Delivery timelines are indicative — HLYWD MD is not liable for delays caused by logistics partners or force majeure events
• Title and risk of loss transfer to the partner upon dispatch from the warehouse

8. KYC, Compliance & Document Obligations

8.1 KYC Requirements

All salon partners are required to submit the following documents prior to account activation:

• PAN card copy
• GST Registration Certificate
• Cancelled cheque (for bank verification)
• Certificate of Incorporation (for Pvt Ltd or LLP entities)
• Partnership deed (for partnership firms) or LLP Incorporation certificate
• Signed HLYWD MD Partner Agreement
• Any additional documents as required by HLYWD MD from time to time

8.2 Accuracy of Information

Partners warrant that all information and documents provided during onboarding and thereafter are true, accurate, complete, and not misleading. Any material change to the partner's business (change of ownership, entity type, address, or banking details) must be notified to HLYWD MD within 15 days of the change.

8.3 Document Security

• All KYC documents are stored securely with access restricted to authorised HLYWD MD personnel and the partner's own Company Admin/Finance users
• Documents are not visible to other partners on the platform
• Partners consent to HLYWD MD retaining these documents for the duration of the partnership and as required by applicable law thereafter

9. Suspension, Termination & Consequences

9.1 Grounds for Suspension or Termination

HLYWD MD reserves the right to suspend or terminate a partner account (at Company, Branch, or individual User level) in the event of:

• Breach of any provision of these Terms
• Misuse of referral codes, tester SKUs, or promotional offers
• Submission of false or fraudulent KYC documents
• Non-compliance with applicable law including tax, GST, or commercial regulations
• Conduct that damages the reputation or interests of HLYWD MD
• Inactivity or failure to maintain the minimum activity threshold as defined by the commission engine
• Any action that manipulates the attribution engine or commission system

9.2 Consequences of Termination

• On termination, the partner's referral codes and QR codes will be deactivated immediately
• Any pending commissions at the time of termination for cause may be forfeited at HLYWD MD's discretion
• Commissions already paid out prior to termination will not be clawed back unless arising from fraudulent attribution
• For termination not caused by breach, pending verified commissions will be processed in the next payout cycle after account closure
• HLYWD MD will retain all audit logs and KYC documents in accordance with applicable legal requirements

9.3 Right of Appeal

Partners who believe a suspension or termination has been applied in error may submit a written appeal to partners@hlywdmd.com within 14 days of notification. HLYWD MD will review the appeal and provide a written response within 15 working days. The Company's decision following appeal is final.

10. Intellectual Property

All content on the HLYWD MD platform — including but not limited to brand names, logos, product images, text, software, and design — is the exclusive property of HLYWD MD or its licensors and is protected under applicable intellectual property laws.

• Partners are granted a limited, non-exclusive, non-transferable licence to use HLYWD MD branding materials solely for the purpose of promoting the Partner Programme — including displaying QR codes and referral links in their salon
• This licence does not permit modification of any HLYWD MD materials, creation of derivative works, or use in any context that could mislead the public
• Unauthorised use of HLYWD MD intellectual property will result in immediate termination of the partner account and may result in legal action

11. Data Privacy & Security

HLYWD MD is committed to protecting the personal data of all users. Our full Privacy Policy (available separately on the platform) governs how we collect, use, and protect your data. By using the platform, you consent to the data practices described therein.

Key principles:

• Retail customer mobile numbers are used solely for OTP authentication and order-related communications
• Partner data (PAN, GSTIN, bank details, and KYC documents) is stored securely with role-based access controls
• All user actions within partner accounts are subject to audit logging — logs are used for dispute resolution, fraud prevention, and compliance purposes
• HLYWD MD does not sell personal data to third parties
• Data is shared only with authorised technology vendors, logistics partners, and government authorities as required by law

12. Platform Availability & Liability

12.1 Availability

• HLYWD MD will endeavour to maintain platform availability at all times but does not guarantee uninterrupted access
• Scheduled maintenance, security updates, or unforeseen technical issues may result in temporary downtime
• HLYWD MD will provide advance notice of planned maintenance where reasonably practicable

12.2 Limitation of Liability

To the fullest extent permitted by applicable law:

• HLYWD MD shall not be liable for any indirect, incidental, special, or consequential loss arising from the use of or inability to use the platform
• HLYWD MD's total liability to any user in connection with these Terms shall not exceed the value of the transaction(s) giving rise to the claim in the preceding three months
• HLYWD MD is not liable for loss of business, loss of revenue, or loss of anticipated savings arising from platform downtime or service interruption

12.3 Force Majeure

HLYWD MD shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, government actions, pandemics, or failure of third-party service providers.

13. Prohibited Conduct

Users of the platform must not:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to any part of the platform, its servers, or connected systems
• Reverse-engineer, decompile, or attempt to extract the source code of any software forming part of the platform
• Use automated tools, bots, or scripts to interact with the platform in a way not intended by HLYWD MD
• Create multiple accounts for the purpose of manipulating referral codes, commissions, or promotional offers
• Post, transmit, or share false, misleading, or defamatory content in connection with the platform
• Interfere with or disrupt the integrity or performance of the platform or its data

Violation of these prohibitions may result in immediate account suspension, legal action, and/or reporting to appropriate authorities.

14. Amendments to These Terms

HLYWD MD reserves the right to update or modify these Terms at any time. Changes will be:

• Published on this page with an updated "Last Updated" date
• Communicated to registered users via email to their registered email address

Your continued use of the platform after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the platform and notify HLYWD MD to close your account.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [City], India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from the date the dispute is raised in writing.
